1) Who We Are and Scope

These Terms of Use (“Terms”) govern your access to and use of the HeyTony learning portal and community features available at heytony.ca or any of our subdomains or online properties and through any related branded mobile applications (the “App”) (together, the “Services”).

The Services are operated by HeyTony Inc. (“HeyTony,” “we,” “us,” or “our”), located at 236 Pritchard Road, Hamilton, Ontario, Canada L8W 3P7.

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2) Non-Affiliation

HeyTony, heytony.ca, and any of our subdomains or other web properties are not affiliated with, endorsed by, or connected to Google, Meta, or any other third-party company referenced within the Services.

3) Eligibility and Accounts

You must be at least 13 years old to use the Services. You are responsible for maintaining the confidentiality of your account credentials and all activities that occur under your account.

If you suspect unauthorized use of your account, please contact us immediately at team@heytony.ca.

4) Community Guidelines & Acceptable Use

To keep our community safe, positive, and productive, you agree not to:

  • Harass, threaten, or impersonate others.

  • Upload or share content that is unlawful, defamatory, infringing, or invasive of privacy.

  • Attempt to access non-public areas, interfere with Service functionality, or reverse-engineer any part of the Services.

  • Upload malware or attempt to bypass security features.

  • Use the Services in violation of any applicable laws.

We reserve the right to remove content or suspend user access that violates these Terms or disrupts the community environment.

5) Your Content & License

You retain ownership of all content you post, upload, or submit through the Services (such as discussions, comments, or profile information) (“User Content”).

By submitting User Content, you grant HeyTony a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display your content as needed to operate and provide the Services—such as displaying your posts in the community, delivering course materials, moderating content, and maintaining backups.

You represent that you have all rights necessary to submit your User Content and that it does not infringe upon the rights of others.

This license continues only for as long as your User Content remains available within the Services.

6) Intellectual Property

All materials within the Services—including course content, videos, text, graphics, logos, and software—are owned by or licensed to HeyTony Inc. and protected under intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works based on any portion of the Services without our written consent.

7) Third-Party Services

The Services may integrate with or link to third-party tools (e.g., video hosting, payment processors, discussion platforms, or sign-in providers). HeyTony is not responsible for the availability, content, or practices of third-party services.

8) No Professional Advice

All materials and discussions within the Services are provided for educational purposes only. Nothing within the Services constitutes legal, financial, medical, or other professional advice. You should consult qualified professionals before making business or financial decisions.

We do not guarantee specific results, rankings, traffic levels, revenue, or business outcomes from using the Services.

9) Disclaimer of Warranties

The Services are provided “as is” and “as available” without any warranties, express or implied. This includes, without limitation, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Services will be error-free, secure, or uninterrupted.

10) Limitation of Liability

To the fullest extent permitted by law, HeyTony will not be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits or data—arising from or related to your use of the Services.

In no event shall HeyTony’s total liability exceed the amount you paid (if any) for access to the portion of the Services giving rise to the claim, or CAD $100, whichever is greater.

Some jurisdictions may not allow certain limitations, so parts of this section may not apply to you.

11) Indemnity

You agree to indemnify and hold harmless HeyTony and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of your User Content, your use of the Services, or your violation of these Terms or applicable law.

12) Changes to the Services and to These Terms

We may update or modify the Services or these Terms at any time. The “Last Updated” date above reflects the latest revision. Continued use of the Services after updates means you accept the new Terms.

13) Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or to protect other users or the integrity of the platform. You may discontinue your use of the Services at any time.

14) Governing Law & Venue

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law principles.

You agree to the exclusive jurisdiction of the provincial and federal courts located in Ontario, Canada, for any dispute arising out of or relating to these Terms or your use of the Services.

15) Payments & Refunds

All purchases are for digital products and services. Unless otherwise stated in writing or required by law, all sales are final and non-refundable.
